1. Introduction and Acceptance

These Terms and Conditions (the “Terms” or “Agreement”) govern your use of the Fidoo platform  (the “Platform”)  as a business-to-business  next  generation  platform for predictive  financial  management,  that gives  you access  to a broad  range of financial tools and services that will help grow your business.

These Terms form a binding agreement between Direct Fidoo Platform a.s., company registration number 23351942, registered office: Pod Dráhou 1636/1, 170 00 Praha (“Direct Fidoo, “we”, “us”, “our”) and the customer – a legal entity or a natural person acting in the course of business (sole trader / entrepreneur / self-employed individual) identified in the registration flow (“Customer” or “you”).

Direct Fidoo operates solely as a technical interface. Direct Fidoo is not a bank, electronic money institution, payment institution, or custodian, does not hold client funds, and does not itself provide regulated payment services. Connections to banks and payment initiation are performed by our Partners authorized to provide regulated services under their own authorizations and terms.

By registering for or using the Platform, you accept these Terms and agree to be bound by them. The Platform is available only for business use; it is not in any way intended to be used for consumer (personal) purposes. You represent that you are at least 18 years old and have full legal capacity and authority to enter into these Terms and bind the entity or, where applicable, yourself as a natural person acting in the course of business, on whose behalf you use the Platform.

2. Definitions

Platform” or “Services” means the software-as-a-service service which enables the Customer to use the Core Service, Multibanking and various additional financial and related  services  that are from time  to time  supported  within the Platform and provided in cooperation with third-party providers or fully by them, including (i) the associated Web Interface(s) and (ii) the Mobile Application.

Partners” means licensed account information service providers (AISPs) and/or payment initiation service providers (PISPs), or other providers of Services available in the Platform engaged by Direct Fidoo.

Web Interface” means the official browser-based software interface(s) provided by Direct Fidoo for accessing and using the Platform via the internet from supported desktop or mobile web browsers.

Mobile Application” means the official mobile software application provided by Direct Fidoo for iOS and/or Android (or other mobile operating systems designated by Direct Fidoo) for accessing the Platform on a Device, distributed through the Apple App Store, Google Play, and/or any other distribution channel explicitly designated by Direct Fidoo in writing or in-app.

User” means an individual authorized by the Customer (e.g., employees, contractors, agents)  to access  the Platform  under the Customer’s  account;  the Customer is responsible for Users’ compliance.

Customer  Data”  means  data  and content  the Customer  or its Users  submit to or through the Platform (e.g., company profile, bank account identifiers, balances, transactions, payment instructions). Customer Data does not include Direct Fidoo’s software,  know-how or other  technology,  or any data  or information  derived from Customer Data that Direct Fidoo processes in anonymised or aggregated form for statistical, analytical, benchmarking or service-improvement purposes.

Module” means an optional functional component of the Platform that extends or supplements its core Services. Modules may be operated either by Direct Fidoo or by third-party providers and may be subject to additional terms and conditions.

API” means any application programming interface, including related SDKs, webhooks, tools, sample code, technical specifications, documentation and access credentials that we make  available  to you for the purpose  of accessing  or integrating with the Platform.

Affiliate” means, with respect to Direct Fidoo, any entity that controls, is controlled by, or is under common control with Direct Fidoo.

Direct Group” means Affiliates and Direct Fidoo.

Workspace Owner” means a User who has been granted administrative rights for the relevant Customer account within the Platform to manage the Customer account.

Device” means a mobile device (including a smartphone or tablet) on which the Mobile Application is installed and used by a User to access the Platform and/or to serve as an authentication factor.

Push Notifications” means messages delivered to a Device via operating-system push notification services (for example, Apple Push Notification service or Android push services) and displayed by the Device operating system, subject to the User’s Device settings.

Biometric Unlock” means use of a Device’s built-in biometric feature (e.g., Face ID / Touch ID or Android biometrics) through system-provided OS APIs to unlock the Mobile Application or cryptographic keys stored on the Device; Direct Fidoo does not receive or store biometric templates.

Mobile Key” means a device-bound authentication method used for multi-factor authentication and/or operation approval, based on activation/registration of a specific Device and cryptographic signing/approval of authentication or authorization operations.

Other capitalized terms may be defined elsewhere in these Terms.

 

3. Account Registration

Required information for account setup includes, at a minimum: your name, email address,  phone  number  and company  information,  as well  as a password for the account.  We will verify  your email  address  and phone  number during onboarding (including sending a verification code via SMS to the phone number provided) to ensure they are valid and reachable.

You acknowledge  that Direct  Fidoo  relies  on the accuracy  and timeliness of the information      you provide when providing the Services and does not verify its accuracy. Direct Fidoo reserves the right, at its sole discretion, to refuse to enter into an agreement or provide services to any entity, where doing so would conflict with legal or regulatory requirements, be inconsistent with Direct Fidoo’s internal risk, compliance, or ethical policies, or could negatively impact on the reputation or security of Direct Fidoo or its customers.  The similar right might apply to any third-party service providers or Partners whose services are made available through the Platform, each of whom may independently refuse to provide their services to you for such reasons based on their own policies.

You are responsible for maintaining the confidentiality and security of your account login credentials. You must ensure that your password and any two-factor authentication (2FA) codes (if enabled) are kept secure. You are liable for all activities that occur under your account. If you suspect any unauthorized access to or use of your account, you must promptly notify Direct Fidoo. We may require you to change passwords or take  other  steps  to protect  the account’s  security  in the event of a suspected breach.

The account owner is the Customer (company) identified during registration. Direct Fidoo  may assume  that any person  using  the account  with your credentials is authorized  to act  for you. You are responsible  for managing  access  rights to your account  (e.g.,  if you invite  other  Users  from your organization). You may designate multiple Users under your account; all use by such Users is subject to these Terms, and you are responsible for their compliance. All acts and omissions of Users  are deemed  acts  and omissions  of the Customer,  and the Customer shall remain fully liable for any use of the Platform by its Users.

 

4. Scope of Services

  1. Core Service: Platform serves as a unified gateway that connects the various Modules and Services offered both internally and by third-party providers. Its primary role is to aggregate and harmonize key data—particularly user role and permission data across modules—to ensure a consistent, secure, and streamlined user experience (e.g. autofill of payment orders form). Platform does not itself generate any content or functionality of these Modules.

 

  1. Multibanking:  the Platform brings together bank accounts connected to the Platform by Customer helping to gain overview on income and expenses and sharpen cash-flow planning. The Platform provides a unified interface to (a) display balances and transaction history from Customer’s bank accounts, and (b) instruct payment initiation from those accounts via Partners where supported, subject to bank   availability,   applicable   law,   and Customer’s   explicit   consent within the Platform. The scope of such information depends on the data made available by the respective banks and the period for which such data is exposed.

For the avoidance of doubt, Direct Fidoo acts solely as a technical intermediary and does not provide official bank account documentation for Customer’s bank accounts held by third-party banks. Direct Fidoo has no obligation to issue or deliver account statements or annual statements of fees and/or interest for the Customer’s bank accounts connected via Multibanking.

  1. Marketplace: Module operated by Direct Fidoo as a technology provider that enables Customers to discover, activate, and access offerings from thirdparty providers and Direct Fidoo Affiliates. Direct Fidoo provides only the Marketplace interface and related orchestration. The Marketplace is governed by special Terms and Conditions.
    1. Availability and Changes: Features may evolve over time. Availability and feature sets may vary by access channel or distribution channel (including the Mobile Application), by Device capabilities, and by operating system or app store requirements. Direct Fidoo does not warrant feature parity across channels and may introduce or retire features for security, compliance, or platform compatibility reasons. Direct Fidoo or Module providers may add, modify, or remove features to improve the service or for legal/compliance reasons. We will endeavor to notify you in advance of any material changes to features, especially if a feature you use is being substantially altered or discontinued.
    2. Customer Responsibilities: Customer is solely responsible for: (a) selecting and connecting its bank accounts and setting the relevant permissions; (b) verifying payment instructions; (c) using the Services in accordance with applicable law and Terms; and (d) backing up Customer Data as needed.

 

5. Third‑Party Providers

Certain Services accessible through the Platform may be provided directly by third parties such as banks, payment institutions or other companies under their own contracts  with you.  You must review  and accept  any such terms  before using these additional services.

Use of multibanking functionality requires our cooperation with Partners. By using the Platform, you authorize Direct Fidoo to transmit your instructions and the necessar data to Partners to retrieve account information and share it back with us and/or initiate payments. Direct Fidoo is not responsible for such third parties’ services, subject to Direct Fidoo’s duty of reasonable care in their selection and integration. Any data retrieved from your bank is provided via third-party APIs and Direct Fidoo cannot guarantee its accuracy or timeliness beyond what those providers or your bank supply. If a bank’s API or the PISP service is unavailable or returns errors, it may limit the functionality of our Platform; such outages or errors are outside Direct Fidoo’s control. By connecting your bank accounts through Partner, you expressly agree to the applicable  terms  and conditions  of those  providers. You acknowledge that we may provide Partners with your contact information e.g. an email address used for account registration in order to connect your bank accounts to the Platform.

Account information and payment initiation can only occur on the basis of the explicit consent of the User granted to the relevant Partner. We act as technical intermediary.

Partners may provide functionality enabling us to store consents granted by Users to the bank for the purpose of account access or retrieval of account information. The storage of such consents shall be limited by applicable laws and regulations, the policies of the relevant account-holding bank, or until the User revokes consent, whichever  occurs  first.  If you terminate  your business  relationship  with us, we will promptly ensure that any consent previously granted by you is revoked without undue delay.

Users may withdraw consents at any time via the relevant interface. Withdrawal may limit  or disable  features  that rely  on the consent;  we will inform  Users about such effects in the interface. We may maintain audit logs evidencing the grant, scope, and withdrawal of consents, and may share the minimum necessary log identifiers with Partners to ensure technical continuity and security.

 

6. Fees and Payment

We reserve the right to introduce fees for the use of the Platform or certain parts or features of the Platform in the future. We will notify you of any such changes and the applicable  fees  in advance  and will give  you a reasonable  opportunity to decide whether to continue using the relevant parts of the Platform subject to such fees. Article 17. Changes to the Terms shall apply accordingly.

 

7. License and Intellectual Property

Direct Fidoo grants Customer a limited, nonexclusive, nontransferable, nonsublicensable, revocable license to access and use the Platform (including to download, install, and use the Mobile Application on compatible Devices) during the term of our Agreement, solely for Customer’s internal business purposes and subject to these Terms and usage limits. Direct Fidoo and its licensors own all rights in the Platform and related materials.

Customer retains ownership of Customer Data and grants Direct Fidoo a worldwide, royaltyfree license to process Customer Data to provide and improve the Services and to comply with law.

 

Except for the rights expressly granted to you under these Terms, neither party transfers  or assigns  any intellectual  property  rights  to the other.  Direct  Fidoo (or our licensors)  retains  all rights,  title,  and interest  in and to the Platform, the software and technology underlying the Services, our trademarks and logos, and all related  intellectual  property  –  including  any updates, enhancements, or modifications to the Platform made during the term. Any suggestions, feedback, or ideas for improvement you voluntarily provide may be used by Direct Fidoo without obligation, and you hereby grant Direct Fidoo a perpetual, royalty-free license to incorporate  and use  such feedback.  Using  the Platform  does  not give you any ownership in the software or infrastructure that we provide.

You warrant  that you have all necessary  rights  to the Customer  Data  to use it with the Platform and to grant us the above license, and that none of the Customer Data (nor Direct Fidoo’s use of it in accordance with this Agreement) will violate any law or infringe any rights of third parties. You should not upload or input any personal data that is not needed for use of the Services.

Mobile  Application  License  and Distribution:The  Mobile  Application may be distributed through third-party app stores and/or other channels explicitly designated by Direct Fidoo. Customer and Users must comply with applicable third- party terms governing download, installation, and use of the Mobile Application (including app store terms and any applicable end-user license terms).

 

8. Data Protection and Security

Direct Fidoo will process personal data in accordance with applicable data protection laws. Unless otherwise agreed, Direct Fidoo acts as a controller of personal data when providing the Platform Services. For more information about how we handle your personal data, please see our Privacy Policy. When providing Service, we adhere to a Code of Conduct, the current version of which you will find on this website.

We implement and maintain appropriate technical and organizational security measures designed to protect Customer Data against unauthorized or unlawful access, and against accidental loss or destruction. While we strive to keep your data secure, no system is 100% foolproof; you acknowledge that you will also take reasonable steps for security, such as protecting your account credentials and using secure networks.

If Users  access  the Platform  via the Mobile  Application,  Customer  shall ensure that each such User uses the Mobile Application only on a Device that is reasonably secured, including: (i) a Device lock (PIN/password/biometric) enabled at the operating- system level; (ii) timely installation of security updates for the operating system and the Mobile Application; and (iii) prohibition of sharing the Device in a manner that would allow third parties to access the Mobile Application in an authenticated state. Authentication within the Mobile Application, including PIN-based and biometric authentication,  is implemented  using  security  technology  provided  by Wultra.

Customer acknowledges that use of an authenticated session on a Device may enable access to Customer Data; Customer is responsible for implementing appropriate internal policies for Device security (including where Devices are employee-owned “BYOD”)                            and for promptly  revoking access where needed.

Biometric Unlock (Face ID / Touch ID) - the Mobile Application may allow a User to enable Biometric Unlock as a convenience feature to unlock an existing authenticated session and/or to unlock cryptographic keys stored in the secure storage of the Device. Biometric Unlock is optional and can be disabled at any time in the Mobile       Application settings.

For the avoidance of doubt, Direct Fidoo does not collect, receive, store, or otherwise process biometric templates (such as fingerprint or face templates) in connection with the Biometric Unlock feature. Biometric Unlock relies exclusively on the Device’s operating system and secure hardware components The Mobile Application receives only    a success/failure  result from the Device operating system.

Customer shall ensure that only authorized individuals are enrolled in the Device’s biometric profiles used to unlock the Device and that Users have an alternative authentication method available

Direct Fidoo may make available a device-bound multi-factor authentication method (“Mobile Key”), which may be provided using third-party technology (for example Wultra Mobile-First Authentication). Mobile Key typically includes (i) registration/activation of a specific Device to the User’s account (an “Activation”) and (ii) cryptographic approval/signing of authentication or authorization  operations

Where enabled,  Direct  Fidoo  may require  Mobile  Key  to access  the Platform or to approve certain high-risk actions. A successful approval via Mobile Key is deemed an action   taken   by the relevant   User  and on behalf   of Customer.

Customer and Users must keep the Device used for Mobile Key under their control and reasonably  secured.  Customer  shall promptly  revoke  a lost,  stolen, or compromised Device via the Platform or by contacting Support. .

Customer shall promptly notify Direct Fidoo if any Device that is authenticated to the Platform or used as an authentication factor (including for Mobile Key), is lost, stolen, or reasonably suspected to be compromised. Direct Fidoo may, as a protective measure, revoke authenticated sessions, deactivate Mobile Key Activations, and/or temporarily restrict account activity until the risk is mitigated

Customer is responsible for using available Device security features and for ensuring that Users    report    security   incidents    without undue    delay

Direct Fidoo may provide updates, security patches, and new versions of the Mobile Application. Customer is responsible for ensuring Users promptly install updates where reasonably required for security or compatibility.  Direct Fidoo may restrict or discontinue support for older versions of the Mobile Application and may block access from versions that present security or compatibility risk.

Direct Fidoo reserves right to restrict or deny access from unsupported, outdated, insecure, or materially compromised browsers/environments.

Direct Fidoo may restrict access where browser extensions, malware, automation, or integrity        issues  pose  a security risk

Direct Fidoo may display security warnings, anti-phishing notices, or require additional verification or re-authentication where reasonably necessary for fraud prevention, account protection, or other security reasons.

Direct  Fidoo  reserves  the right  to implement  additional  security  features, such as automatic logout in case of inactivity, session on validation on logout, password reset feature etc.

 

9. Confidentiality and sharing within Direct Group

We understand that use of the Platform may involve sensitive banking, financial, commercial and other confidential information relating to Customer, its Users and representatives, including information that may be subject to statutory, contractual or professional confidentiality obligations. Direct Fidoo will treat such information as confidential and will not disclose it to any third party except as permitted  by these Terms,  applicable  law,  or with Customer’s  consent where required.

Notwithstanding the foregoing, Customer acknowledges and agrees that disclosure by Direct Fidoo of Customer Data and related confidential information to (i) Affiliates and (ii) third-party service providers, subcontractors, infrastructure providers, professional advisers, auditors and other recipients engaged by Direct Fidoo or an Affiliate within Direct Group, shall not constitute a breach of any confidentiality obligation, trade secrecy obligation, banking and insurance secrecy obligation or similar duty of non-disclosure owed by Direct Fidoo, provided that such disclosure is made only to the extent reasonably necessary for one or more of the following purposes:

  1. provision, operation, administration and support of the Platform and any Module or services       within Direct Group;
  2. onboarding,  customer     administration,     identity     verification,     authentication and access    management;
  3. enabling connectivity with banks, Partners and other third-party providers, including account information and payment initiation workflows where applicable;
  4. operation of shared systems, infrastructure, hosting, databases, analytics tools, communication tools and other technical environments used  within Direct Group;
  5. information security, fraud prevention, incident response, service monitoring, troubleshooting  and abuse detection
  6. internal administration, governance, reporting, compliance, audit, legal, tax, accounting and risk management within Direct Group;
  7. development, maintenance, testing and improvement of the Platform and related Services, provided that Direct Fidoo will, where reasonably possible, use aggregated, anonymised, pseudonymised  or otherwise  minimised  data  for such purposes;
  8. exercise, protection or transfer of rights or obligations relating to the Platform or Direct Fidoo’s business, including in connection with a reorganisation, financing, sale, merger,             assignment  or outsourcing; and
  9. compliance with applicable law, regulation, lawful requests of public authorities, or binding requirements of courts, regulators or supervisory authorities.

Direct Fidoo will ensure that any Affiliate or third-party recipient receiving Customer Data or personal data under this Section is bound by appropriate confidentiality, data protection and security obligations consistent with applicable law and the nature of the data  disclosed.  Where required  by applicable  law,  Direct  Fidoo  will ensure that such recipient acts under a data processing agreement or other appropriate contractual framework.

Customer acknowledges and agrees that, for the provision of services within Direct Group, Direct Fidoo may make available to Affiliates and service providers relevant information as you are our Customer, scope of our service, account, identification, contact, operational, technical, usage, bank connectivity and transaction-related data, as well as other  information  submitted  to or generated  through the Platform, in each case only to the extent reasonably necessary for the relevant purpose. Customer acknowledges this will not be considered as a breach of confidentiality.

Direct  Fidoo  will not share  Customer  Data  or personal data  with Affiliates for their independent direct marketing purposes unless permitted by applicable law and,  where required,  based  on a valid  legal  basis  obtained  separately from these Terms.

 

10. Acceptable Use

You agree to use the Platform and Services in a lawful manner and in accordance with this Agreement.

Prohibited Uses:  You shall not use  the Services  (nor permit  any User under your account to use the Services):

Unlawful or Fraudulent Activity: For any purpose that is unlawful, fraudulent, or infringing. You will not use the Platform to engage in or facilitate money laundering, terrorism financing,  or other illicit  financial  activities.  You will comply with all applicable financial regulations and sanctions in connection with your use of the Platform.

Abusive Behavior: To transmit or store any content that is defamatory, harassing, obscene, or violates  the privacy  or intellectual  property  rights  of others. You will not upload any malicious code, viruses, or backdoors into the Platform

Interference with Service: In a manner that could disable, overburden, or impair the Platform or interfere with other users’ use. This includes not attempting to bypass or break   any security   mechanism,   not probing   or scanning   systems without authorization, and not launching any form of denial-of-service attack.

Improper  Data  Use:  You will not upload  or input content  that is unrelated to the Services’   intended   use,   or use   the Platform   as generic   storage.

You will not misuse any API endpoints by sending excessive or irrelevant requests that could strain the system.

Unauthorized Access: You will not attempt to gain unauthorized access to any portion of the Platform,  other  accounts,  computer  systems  or networks  connected to the Platform,  through hacking,  password mining  or any other  means. You will not misrepresent your identity or affiliations when using the Services.

Mobile Application integrity and distribution: You shall not (and shall not permit any User  to):  (i)  install  or use  the Mobile  Application  from any source  other than a distribution channel authorized by Direct Fidoo; (ii) use the Mobile Application on a Device that is jailbroken, rooted, or otherwise materially compromised; (iii) disable, bypass, or circumvent security mechanisms of the Mobile Application or the Device (including secure storage, code-signing protections, and integrity checks); or (iv) modify, translate, decompile, or tamper with the Mobile Application except to the extent permitted by mandatory law.

Direct Fidoo reserves the right to monitor the use of the Services electronically to ensure  compliance  with this Section  (while respecting  your confidentiality and privacy). If Direct Fidoo detects any violation of this Acceptable Use or other sections   of these Terms,   we may request   that you correct   such violation. If you do not promptly  cooperate,  we may suspend  or terminate  your access. You are responsible  for ensuring  that all your Users  understand and abide by these restrictions.

 

11. Warranties and Disclaimers

DIRECT  FIDOO  will provide  the Services  with reasonable  skill  and care.  EXCEPT AS EXPRESSLY STATED, THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE”, AND DIRECT FIDOO DISCLAIMS ALL OTHER WARRANTIES, INCLUDING IMPLIED WARRANTIES   OF MERCHANTABILITY,   FITNESS   FOR A PARTICULAR   PURPOSE,

AND NONINFRINGEMENT. Direct Fidoo does not warrant uninterrupted or errorfree operation, nor the accuracy or timeliness of data retrieved from banks or third parties.

Direct Fidoo shall have no liability for any loss, corruption or destruction of Customer Data, nor for any costs or expenses associated with recovering or reconstructing such data.

 

12. Liability

Nothing limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law. Subject to the foregoing, neither party is liable for indirect, incidental, special, exemplary, or consequential damages, loss  of profits,  revenue,  or data.  Direct  Fidoo’s  aggregate  liability  arising out of or related  to the Services  shall not exceed  the fees  paid  by Customer for the three months preceding the event giving rise to the claim.

 

13. Indemnities

Customer will indemnify Direct Fidoo against thirdparty claims arising from Customer’s unlawful use of the Services or Customer Data, and Direct Fidoo will indemnify Customer for thirdparty claims alleging the Services infringe intellectual property rights, subject to customary exclusions and procedures.

Our obligation to indemnify you does not apply to claims arising from modifications you make to the software, or your combination of our Services with other products not provided by Direct Fidoo, or your failure to use any updates provided to avoid a claim. Any indemnification is conditioned on the indemnified party: (i) promptly notifying the indemnifying party of the claim; (ii) giving the indemnifying party sole control of the defense  and any settlement  negotiations;  and (iii)  cooperating with the indemnifying party (at the indemnifying party’s expense) in the defense. These indemnity obligations are the exclusive remedy for the respective infringement or misuse claims discussed here.

 

14. Suspension

Direct Fidoo may suspend access to Platform (in whole or in part) immediately where (i) amounts due are overdue, (ii) the Customer breaches these Terms, (iii) security, legal or regulatory requirements necessitate suspension, or (iv) the Customer’s use poses risk to the Platform, Partners, Affiliates, other customers, or Direct Fidoo.

 

15. Term; Termination; Data Export

This Agreement becomes effective on the date you first accept it (either by clicking “Continue” or by using the Platform, whichever occurs first) and will continue in effect until terminated as set forth herein.

The Customer may terminate this Agreement for convenience at any time by delivering a termination notice (the “Customer Termination Notice”). A Customer Termination Notice may be delivered either (i) through the self-service termination functionality made available in the Platform, or (ii) by written notice via Customer Support (e.g., email), provided that Direct Fidoo may require reasonable verification of the identity and authority  of the requesting  person.  Self-service  termination  in the Platform may only be initiated by a Workspace Owner. Unless Direct Fidoo confirms an earlier effective date in writing (at its sole discretion), termination initiated by the Customer for convenience becomes effective on the last day of the calendar month immediately following the calendar month in which the Customer Termination Notice is delivered

Direct Fidoo may terminate this Agreement for convenience by providing written notice to the Customer (including by email or in-app notice). Unless Direct Fidoo confirms an earlier effective date in writing, such termination becomes effective on the last day of the first calendar month following the calendar month in which Direct Fidoo’s notice is delivered.

The Customer may cancel a scheduled termination initiated through the Platform (a “Termination Cancellation”) at any time until the end of the day immediately preceding the scheduled termination date, by using the self-service functionality in the Platform. If the Customer delivers a termination notice via Customer Support, Direct Fidoo may (but is not obliged to) enable cancellation via Customer Support subject  to reasonable  verification.  Upon a timely  Termination  Cancellation, the Customer  account/company  will be returned  to its prior  active  status and any restrictions applied solely due to the scheduled termination will be removed as soon as reasonably practicable.

Direct Fidoo may terminate this Agreement with immediate effect if Direct Fidoo reasonably  determines  that the Customer  or any User  (i)  materially  breaches the Acceptable Use rules or engages in fraud, money laundering, sanctions violations or other unlawful activity, (ii) causes or is linked to a security incident or security risk, (iii) creates legal or regulatory risk or restriction for Direct Fidoo, a Partner or an Affiliate, or (iv)  is in material  payment  breach  and fails  to cure  within any cure  period communicated by Direct Fidoo (if applicable). Direct Fidoo may, but is not required to, provide prior notice or an opportunity to remedy where practicable, except where immediate action is prudent or required by law or a regulator.

Either  party  may also  terminate  this Agreement  immediately  by written  notice if the other  party  (a)  ceases  business  operations  or becomes the subject of any insolvency, bankruptcy or similar proceeding that is not dismissed within 60 days; or (b) is legally prohibited from providing or using the Services (for example, if sanctions or changes in law make the provision of Services illegal).

From the moment termination is scheduled (Customer-initiated or Direct Fidoo -initiated) until its effective date, Direct Fidoo may restrict the Customer’s ability to use Platform in order to ensure orderly offboarding and risk management. These restrictions may include, without limitation:

  • connecting  new  bank  accounts  or reconnecting  disconnected  accounts via Multibanking;
  • initiating onboarding of additional products that are dependent on Platform connectivity;
  • initiating workflows that are strictly dependent on Multibanking; invite or add new Users.

Upon termination (or during offboarding), Direct Fidoo may revoke all authenticated sessions on Devices, deactivate Mobile Key Activations, and deregister Devices from Push Notifications to prevent further access.

  1. Loss of access. Upon the effective termination date (or upon immediate termination),  the Customer  and its Users  will lose  access to Multibanking and Marketplace  features  for the relevant  company  account,  including  visibility of balances and transaction history within Multibanking and any payment initiation via Multibanking.
  2. Consents, bank connectivity, and data flows. Direct Fidoo will ensure that Multibanking-related  connections  and Partner  consents  are stopped and/or revoked without undue delay to the extent required by applicable law and Partner capabilities, and no further bank account information will be downloaded via Multibanking for the relevant company after termination.
  3. Impact on other products.

Platform  products.  Termination of this Agreement automatically terminates or disables all platform products/modules that are designated as “Platform products” or that are technically or contractually dependent on Multibanking (e.g., FX), unless expressly stated otherwise in the applicable product/module terms.

Third-party products. Third-party products obtained through the Platform (e.g., Insurance, Factoring) remain active under their own terms. Direct Fidoo’s involvement remains  limited  to the role  (if any)  described  in the relevant  third-party  terms and the Platform Agreement.

  1. No obligation to maintain access. After termination (or during suspension), Direct Fidoo has no obligation to maintain or provide access to Platform, except as required by applicable  law. You acknowledge  that if you terminate  or if we terminate you for cause, you might lose access to features or data immediately, so it’s advised to export important data prior to termination when possible.Provisions that by their nature should survive termination shall survive termination or expiry of this Agreement.

 

16. Assignment

You may not assign or transfer this Agreement or any of your rights, obligations hereunder, in whole or in part, without Direct Fidoo’s prior written consent, except that you may assign  this Agreement  in its entirety  in connection  with a merger or acquisition of your company or a sale of all or substantially all of your assets (upon written  notice  to Direct  Fidoo,  and provided  that the assignee  agrees to be bound by these Terms).

Customer gives prior consent to Direct Fidoo to assign or transfer this Agreement (including  all rights,  obligations,  confidential  information  and relevant data) and/or to novate the Agreement, in whole or in part, to any Affiliate or to a third party authorized  to provide  the Services.  The effectiveness  of such assignment/transfer is not conditioned upon notification to Customer; Direct Fidoo will inform Customer in an appropriate manner (e.g., inapp notice or email). Customer shall not object to such assignment/transfer.

 

17. Changes to the Terms

Direct  Fidoo  may update  these Terms from time  to time.  Material  changes will be notified inapp or by email 30 days prior to the effective date.

If you do not agree  with the updated  Terms,  you have the right  to terminate this Agreement before the changes take and cease using the Platform. To do so, you should provide written notice of termination to Direct Fidoo prior to the effective date. In such case,  you may request  a pro-rated  refund  of any prepaid  fees for the period after termination (if applicable). If you continue to use the Services on or after the effective  date  of the revised  Terms,  or if you explicitly  accept the updated   Terms,   you will be deemed   to have accepted   the changes and will be bound by the new Terms. Non-material updates (such as clarifications or typo  corrections)  and updates  by changes  in legislation  may be made with immediate effect.

 

18. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Czech Republic, unless mandatory provisions of law applicable stipulate otherwise. The parties agree that any litigation arising out of or relating to these Terms or the Services shall fall under the exclusive jurisdiction  of the courts  of the Czech  Republic,  unless  otherwise  required by an overriding law. Notwithstanding the foregoing, Direct Fidoo may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent unauthorized use or abuse of the Services or violation of Direct Fidoo’s intellectual property rights.

 

19. Miscellaneous

Entire Agreement: These Terms, together with any documents agreed, constitute the entire  Agreement  between you and Direct  Fidoo  regarding  the Platform and Services, and supersede all prior or contemporaneous agreements, proposals or representations,  written  or oral,  concerning  its subject  matter.  Any terms or conditions you send in, for example on a purchase order or sign-up form (other than those explicitly accepted by Direct Fidoo, like pricing or duration), are null and void and will not override this Agreement. However, some specific Services available in the Platform may be subjected to their own additional specific terms.

Severability: If any provision of these Terms is held by a court of competent jurisdiction to be invalid or unenforceable, that provision will be interpreted to fulfill its intended purpose  to the maximum  extent  permitted  by law,  and the remaining  provisions of the Agreement will continue in full force and effect.

No Waiver:  The failure  of either  party  to enforce  any right or provision of this Agreement shall not constitute a waiver of future enforcement of that right or provision. A waiver of any term will be effective only if in writing and signed by the waiving party and will not imply a waiver of any other term.

Force Majeure: Neither party will be liable for any failure or delay in performance of its obligations (except payment obligations) to the extent caused by circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, civil disturbances,  labor  strikes,  pandemics,  governmental  actions,  power or communication failures, or widespread internet outages. The affected party shall give notice to the other and make reasonable efforts to resume performance as soon as possible. If a force majeure event continues for an extended period (e.g., more than 60 days), either party may terminate the Agreement upon written notice.

Notices: Direct Fidoo may send you legal notices or communications about the Service (such as notice  of changes  to these Terms)  by email to the address  associated with your account, through in-app notifications, or by mail to your registered address. You are responsible for providing and maintaining a valid email address. Notices will be deemed given (a) in the case of email, when sent (unless the sender is notified that the address is invalid), (b) in the case of in-app notice, on the day the user next logs in and sees the notice.
