1. Introduction and Acceptance
These Terms and Conditions (the “Terms” or “Agreement”) govern your access to and use of the Direct Fidoo Platform Marketplace (the “Marketplace”) within the Direct Fidoo Platform, where third‑party and affiliated providers offer products and services. These Terms form a binding agreement between Direct Fidoo Platform a.s., Identification No. 23351942, registered office: Pod Dráhou 1636/1, 170 00 Praha (“Direct Fidoo”, “we”, “us”, “our”), as Marketplace operator, and the customer – a business company identified in the registration flow (“Customer” or “you”). By accessing or using the Marketplace, you agree to these Terms. The Marketplace is offered solely for corporate business use, and it is not intended for personal use in any way.

2. Marketplace Structure
Direct Fidoo operates the Marketplace as a technology provider that enables Customers to discover, activate, and access offerings from third‑party providers and Direct Fidoo Affiliates (each a “Provider”). Unless expressly stated for a specific offering, the contract for any Provider service is concluded directly between Customer and the relevant Provider. Direct Fidoo is not a party to those Provider contracts and is not responsible for Provider services. Direct Fidoo provides only the Marketplace interface and related orchestration. Direct Fidoo acts as an insurance intermediary.
Some Modules may be co‑branded or markedas provided by a Direct Fidoo Affiliate. The Provider responsible for each offer is identified in the Module description and/or terms.
3. Definitions
“Marketplace” means the catalog, activation flows, and orchestration layer enabling Customer to access Provider offerings within Platform.
“Provider” means the third‑party or Affiliate offering products/services via the Marketplace.
“Offer” means a specific offering of a Provider made available to the Customer in the Marketplace and may be governed by Offer‑Specific Terms.
“Offer-Specific Terms” means the Provider’s terms, policies, and disclosures that apply to the relevant Offer (and prevail over these Marketplace Terms for that Offer).
Other capitalized terms may be defined elsewhere in these Terms or Direct Fidoo Platform Terms.
4. Activation and Offer‑Specific Terms
To use Offer in Marketplace, Customer must complete any required onboarding information and accept the applicable Offer‑Specific Termswith the relevant Provider. If these Terms conflict with Offer‑Specific Terms, the Offer‑Specific Terms prevail for that Offer. Direct Fidoo may facilitate activation and single signon to the Module but does not control the Provider’s performance.
Certain services offered via the Marketplace may constitute regulated activities under applicable laws and may therefore require KYC/AML checks.
5. Illustrative Offers
1. Insurance Offers: Insurance products are offered by licensed insurers. Information about our status as an insurance intermediary is provided in accordance with Section 88 of Act No. 170/2018 Coll., on the distribution of insurance and reinsurance.
Direct Fidoo is an insurance intermediary carrying on activities in the capacity of a tied agent of Direct pojišťovna, a.s., Identification No. 25073958, with its registered office at Nové Sady 996/25, 602 00 Brno Website: www.direct.cz, E-mail: info@direct.cz, Data box ID: 9tngrgm (Insurance Company”). The Insurance company acts as the insurer.

Direct Fidoo and the Insurance Company are part of the Direct Group. The persons exercising control over the Insurance Company hold direct and indirect shares in the voting rights and capital of Direct Fidoo.
You can lodge a complaint about our activities as a tied agent either with Direct Fidoo or with the Insurance Company on the contacts provided in the sections 1 and 3 of these Terms, or with Czech National Bank: Na Příkopě 28, 115 03 Prague 1, Website: www.cnb.cz, E-mail: podatelna@cnb.cz, Data box ID:bj6755e.
Direct Fidoo receives a commission from the Insurance Company for mediating an insurance contract, which is determined as a percentage of the insurance premium.
2. Other Services: Financing or other services are provided by the respective Provider. Eligibility, underwriting, pricing, service levels, and legal disclosures are governed by Provider terms. These Services might lead you out of the Platform to the Provider's website or environment or your contact and Offer related data might be shared with the Provider.
6. Data Sharing; Privacy
Customer authorizes Direct Fidoo to share necessary Customer Data from the Platform with Providers to facilitate activation and use of chosen Modules (e.g., company profile, Users, usage metadata) and authorizes Providers to share status signals back to Direct Fidoo (e.g., “activated”, “suspended”) to orchestrate access. We may offer you a choice that we will, with your consent, share more Customer data with the Provider to provide you with a more tailored or faster final offer. Each Provider is independently responsible for the processing of personal data under its privacy notices. Direct Fidoo processes personal data in accordance with applicable laws. Direct Fidoo may create and use Aggregated Data for analytics and Marketplace improvement, without identifying the Customer or any individuals.
7. Fees and Billing
Marketplace access is included with your Platform account. Depending on the Module, you may be billed by the Provider or by Direct Fidoo acting as billing agent on the Provider’s behalf.
8. Acceptable Use; Prohibited Activities
Customer must use the Marketplace only for lawful business purposes and in compliance with these Terms and the Offer‑Specific Terms. Customer must not misuse the Marketplace (e.g., introduce malware, circumvent access controls, or infringe third‑party rights). Modules may impose additional restrictions (e.g., on high‑risk activities).
Illegal Content Reporting: Anyonemay notify us of allegedly illegal content displayed within the Marketplace (e.g., trademark infringement, misleading statements) via info@fidoo.com.A notice should include: (i) adescription of thealleged illegality and its legal basis, (ii) the exact location of the content (URL/ID), (iii) the notifier’s contact e-mail address, and (iv) a good-faith declaration.
9. Availability and Changes
Direct Fidoo does not guarantee continuous availability of Modules, Providers or Marketplace itself. Direct Fidoo or a Provider may modify, suspend, add or discontinue Offers or Providers (in whole or in part) for legitimate reasons (e.g., compliance, security, business decisions). Direct Fidoo will endeavor to provide reasonable notice of material changes.
10. Warranties and Disclaimers
Direct Fidoo provides the Marketplace with reasonable skill and care. EXCEPT AS EXPRESSLY PROVIDED OR AS REQUIRED BY LAW, DIRECT FIDOO PROVIDES THE MARKETPLACE “AS IS” AND “AS AVAILABLE” AND DISCLAIMS ALL OTHER WARRANTIES. DIRECT FIDOO MAKES NO WARRANTY AND ASSUMES NO LIABILITY FOR PROVIDER SERVICES OR CONTENT. PROVIDERS ARE SOLELY RESPONSIBLE FOR THEIR MODULES, INCLUDING PERFORMANCE, RATES/PRICES, SUPPORT, AND COMPLIANCE.
11. Liability
Nothing limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law. Subject to the foregoing, Direct Fidoo is not liable for indirect, incidental, special, exemplary, or consequential damage, or for loss of profits, revenue, or data. For Marketplace operation (excluding Provider services), Direct Fidoo’s aggregate liability shall not exceed the Direct Fidoo Marketplace fees (if any) paid by Customer in the three (3) months preceding the event.
12. Indemnities
Customer will indemnify Direct Fidoo against third‑party claims arising from Customer’s misuse of the Marketplace or violation of Module‑Specific Terms. Providers are responsible for any third‑party claims pertaining to their Modules.
13. Suspension; Removal of Offers
Direct Fidoo may suspend Marketplace access or Customer’s access to one or more Modules if: (a) amounts due (to Direct Fidoo or a Provider) are overdue; (b) Direct Fidoo reasonably suspects breach, fraud, or security risk; (c) required by law or at a Provider’s request; or (d) Customer’s use creates risk to the Marketplace, a Module, or third parties.
14. Term; Termination
This Agreement becomes effective on the date you first accept it (either by clicking “Continue” or by using the Platform, whichever occurs first) and will continue in effect until terminated as set forth herein.
Access to and use of the Marketplace requires an active Direct Fidoo Platform account under the Direct Fidoo – Platform Terms and Conditions. If the Platform Agreement terminates or expires for any reason, this MarketplaceAgreement will automatically terminate on the sameeffective date. Termination of this Marketplace Agreement does not, by itself, terminate or amend any underlying contracts between Customer and any Provider, which remain governed by the respective Offer-Specific Terms.
Direct Fidoo reserves the right to terminate or suspend the Services (in whole or in part) immediately if we reasonably determine that: (i) you have used the Services in a manner that materially violates acceptable use or any law, or that poses a security risk to the Platform or any other users; (ii)continuing to provide the Services to you would expose Direct Fidoo to legal liability or regulatory sanctions; or (iii) you are in violation of payment obligations and have not cured such violation within the specified time (including failure to pay fees after reminders).
We will make a good-faith effort to provide you with notice and an opportunity to remedy the situation (if remediable) before such a suspension or termination, except where we determine immediate action is prudent (e.g., in the event of severe abuse or fraud).
After termination or during suspension, Direct Fidoo has no obligation to maintain or provide access to the Marketplace.
15. Assignment
You may not assign or transfer this Agreement or any of your rights or obligations hereunder, in whole or in part, without Direct Fidoo’s prior written consent, except that you may assign this Agreement in its entirety in connection with a merger or acquisition of your company or a sale of all or substantially all of your assets (upon written notice to Direct Fidoo and provided that the assignee agrees to be bound by these Terms).
Customer gives prior consent to Direct Fidoo to assign, transfer, or novate this Agreement (including all rights, obligations and relevant data) to any Affiliate or to a third party authorized to operate the Marketplace. Effectiveness is not conditioned upon prior notification; Direct Fidoo will inform Customer in an appropriate manner. Customer may not object to such assignment/transfer.
16. Changes to the Terms
Direct Fidoo may update these Terms from time to time. Material changes will be notified in‑app or by email 30 days prior to the effective date.
If you do not agree with the updated Terms, you have the right to terminate this Agreement before the changes take and cease using the Marketplace. To do so, you should provide written notice of termination to Direct Fidoo prior to the effective date. In such case, you may request a pro-rated refund of any prepaid fees for the period after termination (if applicable). If you continue to use the Services on or after the effective date of the revised Terms, or if you explicitly accept the updated Terms, you will be deemed to have accepted the changes and will be bound by the new Terms. Non-material updates (such as clarifications or typo corrections) and updates by changes in legislation may be made with immediate effect.
17. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Czech Republic, unless mandatory provisions of law applicable stipulate otherwise. The parties agree that any litigation arising out of or relating to these Terms shall fall under the exclusive jurisdiction of the courts of the Czech Republic, unless otherwise required by an overriding law. Notwithstanding the foregoing, Direct Fidoo may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent unauthorized use or abuse of the Services or violation of Direct Fidoo’s intellectual property rights.
